Outsourced General Counsel Services

Most large corporations have a staff of lawyers at their beck and call. These lawyers work under the supervision of a General Counsel. The General Counsel serves as the chief legal counsel to the corporation and provides advice to the senior management on a variety of legal issues confronted by the company. A General Counsel is an asset to these companies and operates as an integral part of the management team. The General Counsel also manages the outside counsel hired by the company, controlling legal costs and directing litigation.

Services:   Mackay Law Firm, LLC can provide the following general counsel services:

  1. Contract drafting and negotiation;
  2. Consultation on employment matters including drafting employment agreements (such as separation, executive compensation, confidentiality, non-compete, and invention-assignment agreements), new employee interview guidelines, and prevention of discrimination claims;
  3. Corporate reformation agreements, review/drafting of corporate formation documents;
  4. Compliance services for state and federal law, government contracts, ethics (including employee training and drafting of ethics policy);
  5. Risk management services;
  6. Internal investigations;
  7. Pre-litigation dispute resolution;
  8. Document retention policies;
  9. Manage outside counsel legal budgets and litigation;
  10. IP protection;
  11. Advice and representation on insurance regulatory matters; and
  12. Document production and electronic discovery projects.

How it works:  During the initial consultation, you and the attorney will discuss the scope of representation needed. An outsourced general counsel can be assigned to work onsite, or work can be handled at the law firm’s offices.  Fee arrangements depend on the scope of representation and flat fees are an option. Once an hourly fee or flat fee is agreed upon, your company will have the strategic advantage of a lawyer dedicated to your company:  learning your business, evaluating risks, streamlining your contracting process and managing your legal/litigation costs.
